By accessing this website, submitting a beta application, or using the preview version, you confirm that you have read, understood, and accepted all terms of this Agreement. If you are acting on behalf of an enterprise or organization, you further declare that you have the authority to bind that entity.
Trinova Cooperate is an enterprise collaboration software offering HD audio/video conferencing, smart channel chat, cloud file collaboration, and other features. Users acknowledge and agree that:
To participate in the beta or use certain parts of the Services, you may need to provide accurate and complete personal information (including name, email address, etc.). You are responsible for maintaining the accuracy of the data you submit and updating it promptly. We process your data in accordance with our Privacy Policy.
You may not: (a) create false identities or provide misleading information; (b) share your beta access credentials with others; (c) access any part of the Services without authorization. If we discover any violation of security rules, we reserve the right to revoke beta access.
You agree not to use Trinova Cooperate in any unlawful, infringing, or disruptive manner that interferes with the normal operation of the Services. Prohibited conduct includes, but is not limited to:
Any violation of the above restrictions may result in immediate termination of your account and may lead to civil or criminal liability.
All intellectual property rights and ownership of Trinova Cooperate (including but not limited to software, code, interface design, "Trinova Cooperate" trademark, icons, and text) belong to Trinova Software Development Ltd or its licensors. This Agreement does not grant you any transfer or license of intellectual property rights, except for a limited, revocable, non-exclusive right solely for the purpose of using the beta preview version in accordance with this Agreement.
Any feedback, suggestions, or improvement ideas you voluntarily submit to us during use will be deemed as granting Trinova a perpetual, royalty-free, worldwide license to use, modify, and incorporate such feedback to improve the product, but without associating it with your personal identity (unless required by law).
THE BETA PREVIEW VERSION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, Trinova and its suppliers disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, completely secure, or that all defects will be corrected.
Trinova Cooperate may be compatible with third-party software or operating systems (including Microsoft Windows), but you acknowledge that Trinova Cooperate is not an official Microsoft product and has no affiliation with Microsoft Corporation. Any compatibility information regarding operating systems is provided for reference purposes only.
To the maximum extent permitted by applicable law, Trinova Software Development Ltd and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or relating to this Agreement or the use of the Services, including but not limited to loss of profits, data loss, business interruption, or goodwill damage, even if advised of the possibility of such damages.
Regardless of the nature of the claim (contract, tort, or otherwise), our total liability to you shall not exceed £100 (or equivalent currency), or the amount you paid for the Services in the past six months (if any). Since the Services are currently provided free of charge, the liability limit is £100. Some jurisdictions do not allow the exclusion or limitation of certain liabilities, so the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Trinova Software Development Ltd and its affiliates from any claims, losses, liabilities, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of this Agreement; (b) your use of the Services infringing on third-party rights; (c) any disputes arising from content or feedback you submit.
Your use of the Services is subject to our Privacy Policy, which explains how we collect, process, and protect your personal information. You agree to our use of data in accordance with the Privacy Policy. For any business information you upload or share through the Services, you are solely responsible for ensuring compliance and appropriate permissions.
You may stop using the Services and cancel your beta access at any time. Trinova reserves the right to unilaterally terminate or suspend your access to the Services under the following circumstances: (a) you materially breach this Agreement; (b) required by law or at the request of a government agency; (c) the beta program ends. Upon termination, you must immediately cease use and destroy any copies of the software obtained. Provisions regarding intellectual property, disclaimers, liability limitations, and indemnification shall survive termination of this Agreement.
The Services may contain links to third-party websites or services (e.g., for file storage or authentication). Trinova assumes no responsibility for the content, privacy practices, or terms of such third parties. Your interactions with third parties are governed by their independent agreements.
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or relating to this Agreement shall first be resolved through good-faith negotiations; if unresolved, both parties agree to submit to the exclusive jurisdiction of the courts located in Chesterfield, United Kingdom. Notwithstanding the foregoing, Trinova has the right to seek injunctive relief to protect its intellectual property rights in any jurisdiction.
We may revise this Agreement from time to time. The revised version will be posted on this page with an updated effective date. If there are material changes to the Terms, we will notify you via website announcement or email. Your continued use of the Services after the changes become effective constitutes your acceptance of the new Terms. If you do not agree to the revisions, you should stop using the Services and notify us in writing to cancel your beta access.
This Agreement constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior communications. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure to enforce any right or provision shall not constitute a waiver of that right or provision. You may not assign your rights or obligations under this Agreement without our written consent, but Trinova may freely assign them. The relationship established between the parties through your use of the Services is that of independent contractors, and nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship.
